What Is the Michigan Annual Statement?
The Michigan Annual Statement (sometimes called an annual report) is a short filing submitted to the Michigan Department of Licensing and Regulatory Affairs (LARA) every year. It confirms that your LLC is still active and updates your registered agent information if anything has changed.
It is not a tax return. It does not report revenue or profit. It’s a compliance document that tells the state your LLC is still operating and who to contact on its behalf.
Who Has to File?
Every Michigan LLC — domestic and foreign — must file an Annual Statement as long as the LLC is active. There are no exceptions based on revenue, activity level, or how recently the LLC was formed.
Exception: If your LLC was formed after September 30 of a given year, you do not need to file a statement the following February. Your first Annual Statement is due the February after that.
When Is It Due?
February 15 of every year after your LLC’s formation year.
LARA is strict about this deadline. There is no grace period written into the statute.

File online through Michigan’s MiBusiness Registry Portal at mibusinessregistry.lara.state.mi.us. You’ll need a free MiLogin for Business account.
The filing takes about 5 minutes. You’ll confirm or update:
- Your LLC’s registered office address
- Your registered agent’s name and address
- Your LLC’s principal office address
What Happens If You Miss the Deadline?
Missing the February 15 deadline triggers consequences quickly:
- $50 late fee added to the $25 filing cost (total: $75)
- Two consecutive missed statements → LARA administratively dissolves your LLC
- Dissolved LLC → you lose your liability protection, the name becomes available to others, and you’ll owe restoration fees to bring it back
Restoration after dissolution requires paying all outstanding fees plus a $50 restoration fee — and your preferred LLC name may no longer be available.
